Public Offer and Terms of Use for Guardex VPN

This document constitutes a public offer and sets out the terms for using the Guardex VPN website, applications, user dashboard, official Telegram bot, VPN infrastructure, and related features.

Before creating an account, the User separately confirms acceptance of this Offer. When purchasing paid access, the User also confirms the specific order terms displayed immediately before payment.

A User who does not agree with this Offer must not create an account, purchase access, or use Guardex VPN.

1. General Provisions and Parties

1.1. The service provider under this agreement and administrator of Guardex VPN is an individual applying the Russian Professional Income Tax (NPD) regime. Full service-provider details, Russian Taxpayer Identification Number, and contacts are set out in section 25 of this Offer.

1.2. In this document, the Service Provider may also be referred to as “Guardex”.

1.3. Where a purchase is made through the App Store, Google Play, or another application marketplace, the rules of that marketplace additionally apply to payment processing, automatic renewal, cancellation, and refunds. Mandatory consumer rights remain unaffected.

2. Definitions

2.1. User means a legally capable individual aged 18 or older who has created an Account or uses the Service.

2.2. Service means Guardex VPN, including the website, user dashboard, applications, official Telegram bot, server and VPN infrastructure, free access, paid plans, and related features.

2.3. Account means a Guardex user account linked to an e-mail address and an internal Guardex identifier.

2.4. Application means Guardex software for Android, iOS, Windows, macOS, and other supported platforms. Certain platforms may be in testing and may have limited functionality.

2.5. Plan means the applicable access period, price, device allowance, features, limitations, and automatic-renewal terms.

2.6. Direct Purchase means a purchase made through the Guardex website, user dashboard, official Telegram bot, or another payment form operated by Guardex.

2.7. Store Purchase means a purchase made through the App Store or Google Play.

2.8. Payment Provider means a bank, payment service provider, payment aggregator, application marketplace, or another service identified to the User during checkout.

2.9. Automatic Renewal means renewal for another billing period with a recurring charge, where this option is expressly offered, disclosed before purchase, and separately accepted by the User.

3. Acceptance and Formation of the Agreement

3.1. This Offer is accepted when the User actively selects the required checkbox accepting the Offer and completes registration, or otherwise clearly confirms acceptance in a Guardex interface.

3.2. For a paid purchase, the User additionally confirms the selected Plan by pressing the payment button after the access period, full price, discount, currency, device allowance, and automatic-renewal status have been displayed.

3.3. Silence, inactivity, or merely viewing a page does not constitute acceptance.

3.4. The terms displayed and recorded for a particular order form part of the agreement for that order. A future price change does not retroactively change a paid period.

3.5. Guardex may require express acceptance of a new version if this Offer is materially amended.

4. Subject Matter

4.1. Guardex provides access to software and VPN infrastructure that creates an encrypted connection between the User’s device and a Guardex VPN node, subject to the selected Plan.

4.2. The Service is intended for lawful purposes, including protecting a connection on public networks, ordinary work, travel, and other good-faith uses.

4.3. Guardex does not guarantee absolute anonymity, impossibility of identification, uninterrupted access to any internet resource, or access to information restricted by law.

4.4. The User independently determines how the Service is used and must comply with the law of the country in which the User is located and any other applicable law.

5. Free Access

5.1. Guardex may provide a free Plan without requiring payment-card details.

5.2. As of this version, the free Plan includes up to 3 GB of VPN traffic per Account per calendar month and no more than one registered device.

5.3. The monthly allowance is reset on the first day of each calendar month. Unused allowance does not carry over unless the interface expressly states otherwise.

5.4. Available countries, servers, speed, and other free-Plan parameters may differ from paid access and are shown in the current interface.

5.5. Guardex may change or discontinue free access after reasonable notice where technically feasible. Such a change does not affect an already paid subscription period.

6. Paid Plans

6.1. Guardex may offer monthly, annual, and other Plans.

6.2. The current price, currency, access period, discount, features, permitted number of devices, and presence or absence of Automatic Renewal are displayed immediately before an order is placed.

6.3. A paid Plan may be described as having no fixed traffic-volume limit where this is displayed before purchase. This does not permit resale, automated traffic generation, continuous speed testing, mass server use, attacks, or other excessive load.

6.4. Up to five devices may be registered to a paid Account, and all five registered devices may use the VPN simultaneously, unless different terms are displayed for the specific Plan before payment.

6.5. The number of countries and servers is displayed dynamically and may change because of maintenance, capacity, provider replacement, network restrictions, security requirements, or other circumstances.

6.6. Functionality may vary by platform. For example, a feature may be unavailable on iOS because of technical or platform limitations. This is not a defect where the actual feature set was available to the User before purchase.

6.7. Windows and macOS versions may be distributed as test versions. A test version may contain errors, have an incomplete feature set, and change more frequently than a stable version.

7. Registration and Account

7.1. To create an Account, the User provides a valid e-mail address, password, and nickname. The e-mail address is verified using a one-time code.

7.2. A nickname is a display name. The User is not required to provide a legal name and may choose a fictitious nickname that does not violate law or third-party rights.

7.3. The User may sign in using supported Google, Apple, or Telegram authentication. Depending on the provider and the User’s choice, this may create a new Account or link to an existing Account.

7.4. The User must:

• use an e-mail address that belongs to or is lawfully controlled by the User;

• keep passwords and login codes confidential;

• not transfer the Account to another person;

• not create Accounts automatically, in bulk, or to evade limits;

• promptly contact support if Account compromise is suspected.

7.5. The User may change the nickname and terminate active sessions other than the current session through available settings.

7.6. Transferring, selling, renting, or reselling an Account is prohibited without Guardex’s written permission.

8. Licence to Use the Application

8.1. During lawful use of the Service, the User receives a limited, non-exclusive, non-transferable licence to install and use the Application on the permitted number of devices.

8.2. Except where expressly permitted by law, the User must not:

• copy or distribute the Application outside official channels;

• sell, rent, or sublicense the Application;

• modify, decompile, disassemble, or attempt to derive source code;

• bypass authentication, limits, or technical safeguards;

• use the Application or API to create an unauthorized competing service;

• obtain unauthorized access to Guardex infrastructure.

8.3. Rights in Guardex elements belong to the Service Provider and/or their lawful rightsholders. Third-party open-source components are governed by their respective licences.

9. Price and Payment

9.1. Specific prices are not fixed in this Offer. The current price, currency, discount, access period, and total amount are displayed immediately before payment.

9.2. As of this version, Direct Purchases are one-time payments and do not renew automatically. If Guardex offers a recurring direct subscription in the future, it may be activated only after the User gives separate and unambiguous consent to the price, frequency, and cancellation method shown in advance.

9.3. Payment is complete after confirmation by the Payment Provider and successful server-side verification by Guardex.

9.4. Guardex does not receive or store full payment-card numbers, CVV/CVC codes, online-banking passwords, or other credentials enabling Guardex to independently charge a card. These details are entered with the Payment Provider.

9.5. Guardex stores limited order and payment information required to activate access, process refunds, prevent fraud, provide support, and comply with mandatory record-keeping obligations.

9.6. A receipt is sent to the Account e-mail address in accordance with applicable law. The User must ensure that the e-mail address is correct and accessible.

9.7. If advertising material conflicts with final checkout terms, the clear terms displayed immediately before payment apply, provided this does not reduce mandatory rights.

10. App Store and Google Play Subscriptions

10.1. Subscriptions purchased through the App Store or Google Play may renew automatically under the marketplace rules.

10.2. Before purchase, the marketplace displays the price, billing period, trial or discount terms, next charge date, and cancellation method.

10.3. Automatic Renewal must be managed and cancelled in Apple ID or Google Play settings. Contacting Guardex support alone does not cancel a marketplace subscription unless the marketplace confirms otherwise.

10.4. Deleting a Guardex Account does not cancel an active App Store or Google Play subscription. The User must cancel it separately in the relevant marketplace.

10.5. After server-side verification, a Store Purchase may be linked to the Guardex Account and used on supported platforms while signed in to that Account. Restoring a purchase requires the relevant marketplace account.

10.6. Refunds for App Store and Google Play purchases are handled under the rules and procedures of the relevant marketplace, unless mandatory law requires otherwise.

11. Promotions and Special Offers

11.1. Guardex may offer discounts, promo codes, introductory prices, and other promotions.

11.2. The promotion period, first-period price, later purchase price where applicable, and restrictions are displayed before payment.

11.3. Guardex may change or discontinue a promotion for future purchases. This does not change an already paid period.

11.4. A manually repeated purchase is charged at the price applicable at the time of that new purchase.

12. Refunds and Withdrawal from the Agreement

12.1. Nothing in this section limits mandatory consumer rights.

12.2. The User may withdraw from a services agreement as permitted by applicable law. When calculating a refund, Guardex may take into account services already provided and documented expenses directly connected with performance of the agreement.

12.3. Monthly Plan

Guardex does not provide an additional unconditional full-refund guarantee for a monthly Plan solely because the User changed their mind. This does not limit rights in the event of non-provision, defects, duplicate charging, an erroneous payment, or other circumstances protected by law.

12.4. Annual Plan — Voluntary 30-Day Guarantee

For an annual subscription purchased directly on the website, through the official Telegram bot, or through another Guardex-operated payment form, Guardex provides an additional voluntary full-refund guarantee where the request is submitted within 30 calendar days after purchase.

Following approval of the refund, access ends immediately unless otherwise agreed with the User.

This voluntary guarantee does not automatically apply to App Store or Google Play purchases, which are governed by their marketplace procedures.

12.5. Requesting a Refund

A request must be sent to support@guardex-vpn.com and should include:

• Account e-mail;

• payment date and amount;

• Plan;

• payment or order identifier;

• a brief explanation of the request.

Guardex reviews the request and communicates a decision within 10 calendar days unless a shorter period is required by law. After a refund is initiated, the posting time depends on the bank and Payment Provider.

12.6. A refund is generally sent through the original payment method where technically possible.

12.7. A partial refund may be made where required by law, supported by the Payment Provider, or separately agreed with the User.

12.8. Upon refund, Guardex may terminate paid access and adjust subscription and receipt records.

13. Acceptable Use

13.1. Guardex may be used for lawful personal and professional purposes, including remote work and protecting connections on public networks.

13.2. Use on a server, router, or specialized device is allowed only through an officially supported client or configuration, or with separate written permission.

13.3. BitTorrent/P2P availability is not guaranteed and may be restricted. Outbound SMTP may be blocked by default to prevent spam.

13.4. The User must not use Guardex for:

• spam, unsolicited bulk messaging, or phishing;

• fraud or theft of credentials or payment information;

• DDoS attacks, scanning, brute-force activity, hacking, or unauthorized access;

• distribution of malware;

• botnet operation or covert use of third-party devices;

• infringement of copyright or other third-party rights;

• distribution of unlawful content;

• access to information or resources restricted or prohibited by applicable law;

• evasion of mandatory restrictions imposed by a court, competent authority, or communications operator acting under law;

• automated bulk registrations or evasion of Plan limits;

• resale of access;

• activity that creates excessive load or disrupts other Users.

13.5. Technical ability to connect to a resource does not mean that access is lawful or approved by Guardex.

14. Restriction and Suspension

14.1. Guardex may temporarily restrict, suspend, or terminate access if:

• the User breaches this Offer;

• there are indicators of an attack, fraud, automation, or limit evasion;

• the Account or device is compromised;

• use threatens infrastructure security or stability;

• a payment is cancelled, disputed, refunded, or identified as fraudulent;

• this is necessary to comply with a binding legal requirement or competent authority request.

14.2. Guardex may act without prior notice where there is an immediate threat. In other cases, Guardex will provide notice where reasonably possible.

14.3. The User may appeal a restriction by contacting support@guardex-vpn.com.

14.4. Any refund following suspension is determined in light of the reason, services already provided, and mandatory law.

15. Availability and Changes to the Service

15.1. Guardex takes reasonable steps to maintain reliable operation but does not guarantee continuous or error-free availability.

15.2. Guardex does not guarantee:

• a specific speed, latency, or throughput;

• permanent availability of a particular country, city, server, or IP address;

• operation with a particular website, application, or internet provider;

• absence of network blocking, filtering, failures, or third-party restrictions.

15.3. The Service may be temporarily unavailable because of maintenance, updates, equipment or network failure, provider action, high load, attacks, legal restrictions, or other circumstances.

15.4. Guardex may replace servers, countries, protocols, IP addresses, and individual features. Changes must not retroactively change the price of a paid period. If a core paid function is materially discontinued, mandatory User rights apply.

16. Personal Data

16.1. Personal-data processing is governed by the separate Guardex VPN Privacy and Personal Data Processing Policy.

16.2. Consent to personal-data processing is obtained separately from acceptance of this Offer.

16.3. Guardex does not create a history of websites visited, URLs, DNS queries, SNI, or traffic content. Guardex does process the limited Account, device, subscription, payment, VPN-session, and diagnostic data described in the Privacy Policy.

17. Third-Party Services

17.1. Guardex uses or may use third-party authentication services, payment services, application marketplaces, e-mail services, hosting, and server infrastructure.

17.2. A User choosing a third-party service is also subject to that service’s own rules and privacy documents.

17.3. Guardex is not responsible for a third party’s independent decisions, including payment refusal, marketplace-account suspension, fee changes, failure, or unavailability, except where Guardex liability is established by mandatory law.

18. Intellectual Property

18.1. Rights in the Guardex website, applications, interfaces, design, text, code, logos, databases, and other elements belong to the Service Provider and/or their lawful rightsholders.

18.2. The User does not acquire exclusive rights and receives only the limited right to use the Service under this Offer.

18.3. Third-party trademarks, names, and materials belong to their respective owners.

19. Liability

19.1. The User is responsible for the lawfulness of their activity, security of the Account and devices, and activity performed through the Account before compromise is reported.

19.2. Guardex is liable for breach of its obligations to the extent required by applicable law.

19.3. Guardex is not responsible for inability to access a specific third-party resource where the cause is outside Guardex’s reasonable control, including the actions of an internet provider, resource owner, application marketplace, data center, public authority, network failure, device configuration, or another external circumstance.

19.4. Nothing in this Offer excludes or limits liability or mandatory consumer rights that cannot lawfully be excluded or limited.

19.5. The User must compensate documented direct loss caused by the User’s proven and culpable breach of this Offer only to the extent permitted by law.

20. Notices

20.1. Guardex may send service notices concerning security, login, payment, subscription, technical changes, and material document changes by e-mail, in the dashboard, in the Application, or through Telegram.

20.2. Advertising and marketing messages are sent only after separate voluntary consent.

20.3. The User must keep the Account e-mail address current and accessible.

21. Amendments

21.1. A new version is published on the website with its date and version number.

21.2. For new registrations and purchases, the new version applies from publication or from the stated effective date.

21.3. If a change materially affects data processing, payment, refunds, restrictions, or core User rights, Guardex will notify the User and request renewed acceptance where required by law or implemented in the interface.

21.4. A material amendment does not apply retroactively to a paid period unless required by law or favorable to the User.

22. Termination and Account Deletion

22.1. The User may stop using the Service and delete the Account:

• in the Application: Settings → Account → Delete Account;

• on the website: https://guardex-vpn.com/dashboard/settings;

• by contacting support@guardex-vpn.com.

22.2. Account deletion ends access to Account data and settings. Certain payment, tax, fraud-prevention, and legal records may remain for the periods described in the Privacy Policy and required by law.

22.3. Account deletion does not cancel an App Store or Google Play subscription. It must be cancelled in the relevant marketplace.

23. Governing Law and Disputes

23.1. Relations with Users in the Russian Federation are governed by Russian law.

23.2. A User may send an inquiry or claim to support@guardex-vpn.com. Guardex considers claims within the periods established by law and this Offer.

23.3. A voluntary pre-claim process does not deprive the User of the right to apply to a court, consumer-protection authority, or other competent authority.

23.4. Jurisdiction is determined by mandatory applicable law, including statutory consumer venue rights.

24. Final Provisions

24.1. If a provision is held invalid, the remaining provisions continue to apply to the extent possible.

24.2. Headings are for convenience and do not change the meaning of the provisions.

24.3. The Russian version governs for Users in the Russian Federation. The English version is provided for information; in the event of inconsistency, the Russian version prevails unless mandatory law requires otherwise.
